Terms of Service

1. Agreement

These terms govern your use of Simpl_Markup ("the Service"), operated by Jordon Jane trading as Simpl_Markup ("we", "us", "our"). By creating an account or using the Service, you agree to these terms. If you do not agree, do not use the Service.

2. What the Service Does

Simpl_Markup is a website feedback tool with Slack integration. You can submit website URLs to generate screenshots, place comments on those screenshots, and manage feedback workflows through our web app and Slack. The Service includes:

• Screenshot generation from publicly accessible URLs (desktop, tablet, and mobile viewports)
• Click-to-comment annotations with drawing tools
• Threaded comments with @mentions and reactions
• Slack integration for link unfurling, comment notifications, and bidirectional reply sync
• Workspace and team management with role-based access
• Real-time collaboration

3. Accounts

3.1 Creating an Account

You must provide a valid email address and create a password. You may also be auto-provisioned via Slack if someone in your workspace uses the Slack integration — in that case, we create an account using your Slack profile information and send you a password-setup email.

3.2 Account Security

You are responsible for keeping your password secure. Do not share your account credentials. If you suspect unauthorised access, change your password immediately and contact us.

3.3 Age Requirement

You must be at least 16 years old to use the Service.

4. Workspaces and Teams

Each workspace is a separate, isolated environment. Data in one workspace is not accessible from another. Workspace Owners and Admins can invite team members, assign roles, and manage workspace settings. Invitations expire after 7 days if not accepted.

Each workspace includes unlimited users. There is a soft limit of 100 users per workspace for performance purposes. If you need more, contact us.

5. Pricing and Payment

5.1 Subscription

Simpl_Markup costs $29.95 per month per workspace or Slack integration. This is a recurring monthly charge. You can cancel at any time.

5.2 Payment Processing

Payments are processed by Stripe. By subscribing, you agree to Stripe's terms of service. We do not store your payment card details.

5.3 Cancellation

You can cancel your subscription at any time through the billing settings. Your access will continue until the end of the current billing period. We do not offer refunds for partial months.

5.4 Price Changes

We may change our pricing with 30 days' notice. We will notify you by email before any price change takes effect. You can cancel before the new price applies.

6. Acceptable Use

You agree not to:

• Use the Service to screenshot websites without the website owner's knowledge or consent, where doing so would violate applicable law
• Submit URLs that contain illegal content or that you do not have permission to access
• Upload files that contain malware, viruses, or malicious code
• Attempt to access data belonging to other workspaces or other users' accounts
• Use the Service to harass, abuse, or send unwanted communications to others
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Resell, sublicense, or redistribute access to the Service without our written permission
• Use automated scripts, bots, or scrapers to access the Service in a way that exceeds normal usage

We reserve the right to suspend or terminate accounts that violate these terms.

7. Content and Ownership

7.1 Your Content

You retain ownership of all content you upload or create in Simpl_Markup — including comments, annotations, drawings, and file attachments. We do not claim any intellectual property rights over your content.

7.2 License to Us

By using the Service, you grant us a limited, non-exclusive license to store, display, and transmit your content solely to provide the Service to you and your team. This includes posting your comments and screenshots to Slack if you have enabled the Slack integration.

7.3 Screenshots of Third-Party Websites

When you submit a URL, we generate screenshots of publicly accessible web pages. You are responsible for ensuring you have the right to capture and annotate that content. We do not claim ownership over third-party website content captured through the Service.

7.4 Our Intellectual Property

The Service itself — including its design, code, features, and brand — is owned by Jordon Jane trading as Simpl_Markup. These terms do not grant you any rights to our intellectual property beyond the right to use the Service as described here.

8. Storage Limits

Each workspace has a 50 GB storage limit. This includes screenshots, uploaded images, and file attachments. File attachments are limited to 5 MB each. If your workspace reaches its storage limit, you will need to delete existing content before adding more.

9. Slack Integration

The Slack integration is optional. By connecting Slack, you authorise us to:

• Post messages, screenshots, and comment notifications to your Slack channels
• Read user profile information (name, email) to create or link accounts
• Respond to Slack interactions (button clicks, thread replies)
• Unfurl Simpl_Markup links shared in Slack with rich preview cards

You can disconnect Slack at any time from your workspace settings. Disconnecting revokes our access tokens and stops all Slack interactions. Your existing data in Simpl_Markup is not affected.

Use of the Slack integration is also subject to Slack's terms of service.

10. Availability and Support

We aim to keep the Service available at all times but we do not guarantee 100% uptime. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

11. Data and Account Deletion

Workspace Owners can delete their workspace at any time. Deleting a workspace permanently and irreversibly deletes all associated data, including projects, screenshots, comments, attachments, team memberships, and Slack integration data. This action cannot be undone.

12. Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided "as is" without warranties of any kind, whether express or implied.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
• Our total liability for any claim related to the Service is limited to the amount you paid us in the 12 months preceding the claim.
• We are not responsible for the content, accuracy, or availability of third-party websites that you screenshot through the Service.

13. Termination

You can stop using the Service at any time by cancelling your subscription and deleting your workspace.

We may suspend or terminate your access if you violate these terms, engage in abusive behaviour, or fail to pay your subscription. We will provide reasonable notice unless the violation requires immediate action (e.g. security threats, illegal activity).

14. Changes to These Terms

We may update these terms from time to time. If we make material changes, we will notify you by email at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated terms.

15. Governing Law

These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
